Terms of Interpreting Services

1, General Terms of Services. These General Terms of Services represent the agreement between GLOBALTRAD LLC and the Client (the person or entity requesting services from GLOBALTRAD LLC). These Terms of Services may not be supplemented, modified or amended except by a written agreement signed by the Client and GLOBALTRAD LLC.

2. Services and Code of Ethics. Parties are engaged in the business of interpreting services ("Services") and agree to comply with the American Translators Association ("ATA") Code of Ethics and Professional Practice.
For purposes of this Agreement, "interpreting" means spoken or oral translation in any mode (simultaneous, consecutive, sight, as liaison interpreter, etc.), whether performed on site (with or without equipment), or remotely.

3. Relationship between Parties. GLOBALTRAD LLC serves as an independent contractor in the performance of Services under this Agreement. Nothing contained or implied in this Agreement creates a relationship of employer-employee between the Client and GLOBALTRAD LLC nor does it create a joint venture, partnership, or similar relationship between the client and GLOBALTRAD LLC.
GLOBALTRAD LLC is free from direction and control over the means and manner of providing the Services, subject only to the right of GLOBALTRAD LLC to specify the desired results. GLOBALTRAD LLC understands and agrees that (a) GLOBALTRAD LLC must file all corporate and/or individual tax returns and pay Federal and State taxes, as appropriate; (b) the Client is not responsible for withholding any income or any other taxes concerning GLOBALTRAD LLC's fees, and (c) GLOBALTRAD LLC has no claim against the client for any employee benefits of any kind. GLOBALTRAD LLC bears the full expenses of its operations, except those expenses for the specific performance of Services contracted by the Client and agreed to in advance in writing. Any reference in this Terms of Service to "in writing" includes e-mail and/or facsimile communications.

4. Requests for services and confirmation.
Each request for services to be provided by GLOBALTRAD LLC must be made in writing by the Client, and must be confirmed in writing by GLOBALTRAD LLC . There shall be no binding contract and no obligation of any kind on GLOBALTRAD LLC until the issuance of written confirmation thereof by GLOBALTRAD LLC.

5. Product description. The Client shall indicate the purpose, intended use, and requirements, as well as any other specifications and circumstances regarding the services to be delivered by GLOBALTRAD LLC. It is understood and agreed that the service(s) to be provided by GLOBALTRAD LLC shall be suitable only for the specific use and purpose disclosed by the Client and that GLOBALTRAD LLC shall have no obligation to produce a product intended for any other use or purpose not specifically disclosed and described by the Client. GLOBALTRAD LLC does not assume any liability for the client’s inability to be aware of his/her requirements before contracting the services of GLOBALTRAD LLC and/or to inform GLOBALTRAD LLC of these requirements promptly.

6. Compensation and Payment. The Client agrees to pay GLOBALTRAD LLC the fee(s) outlined in each project assignment/quote for Services.
6.1. Terms of payment. Unless otherwise agreed in writing by GLOBALTRAD LLC, all fees for services provided by GLOBALTRAD LLC hereunder are payable in full within 30 days of receipt of the invoice and in United States dollars.
The Client shall pay GLOBALTRAD LLC such deposit as may be requested by GLOBALTRAD LLC in writing before the commencement of the work.
6.2. Contingent payments. In no event should payment to GLOBALTRAD LLC be contingent upon payment to the Client by a third party.
6.3. Long-term assignments. For long-term assignments, GLOBALTRAD LLC may request an initial payment and periodic installments. If an installment becomes overdue, GLOBALTRAD LLC, upon giving the Client a written notice, has the right to stop work until the outstanding payment is received.
6.4. Minimum fee. A 2-hour minimum fee of booked time will be charged for online assignments, and a 4-hour minimum fee of booked time will be charged for on-site assignments.
6.5. Mileage. Current IRS mileage rate for round-trip travel from GLOBALTRAD LLC’S office location and any parking, toll, or related travel expense will be invoiced to the Client as a pass-through expense unless otherwise specified and agreed upon in writing by GLOBALTRAD LLC.
6.6. Travel time. Travel time will be charged at the standard hourly rate for round-trip travel unless otherwise specified and agreed upon in writing by GLOBALTRAD LLC.
6.7. Other expenses. GLOBALTRAD LLC is entitled to reimbursement of other agreed-upon expenses incurred in connection with the performance of the work for the Client, such as airfare, ground transportation, lodging, meals, per diem allowance, long-distance telephone charges incurred on the Client’s behalf, study/preparation time for specialized assignments, second interpreter, and other related expenses, as appropriate.
6.8. Additional services. Additional services (such as document translation, proofreading, editing, voiceover services, technical assistance with content adaptation or related services) will be charged at the standard hourly rate specified in the quote unless otherwise specified and agreed upon in writing by GLOBALTRAD LLC.
6.9. Live Recordings. Suppose GLOBALTRAD LLC’s interpretation is to be recorded or broadcast. In that case, this should be specified in writing by the Client before the interpreting event, and any additional applicable fees shall be clearly defined and communicated to the Client unless otherwise specified and agreed upon in writing between the parties.
6.10. Dress rehearsal. Dress rehearsals for online assignments will be charged at the standard hourly rate. Under the same conditions, an hourly minimum fee for booked time will apply unless otherwise specified and agreed upon in writing by GLOBALTRAD LLC.
6.11. Late payments. All accounts with balances over 30 days past due will be subject to a monthly service charge of 15% APR as a late payment fee unless otherwise specified and agreed upon in writing by GLOBALTRAD LLC.
6.12. Changes. The Client understands and agrees that any change or additional service after the acceptance of an estimate provided by GLOBALTRAD LLC may result in additional fees to cover the services requested TO GLOBALTRAD LLC.
6.13. Rush service. Suppose GLOBALTRAD LLC assesses that the service can be fully met without compromising the quality of the product delivered. In that case, an additional minimum expedited fee of 50% of the total cost of the project will be charged unless otherwise agreed upon and specified in writing by GLOBALTRAD LLC.
GLOBALTRAD LLC reserves its right to adjust or waive the expedited fee as deemed appropriate.

7. Cancellations. Cancellation fees for remote and on-site assignments will apply unless otherwise agreed upon and specified in writing by GLOBALTRAD LLC.
7.1. Cancellation fees for events lasting up to 6 hours. Suppose an interpreting assignment for an event lasting up to 6 hours, either remote or on-site, is canceled with less than 48 hours’ notice (not including weekends). In that case, the interpreter will be compensated fully (100% cancellation fee) unless otherwise agreed upon and specified in writing by GLOBALTRAD LLC.
7.2. Cancellation fees for events exceeding 6 hours / multiple-day events. Suppose an interpreting assignment for an event exceeding 6 hours, or a multiple-day event, either remote or on-site, is canceled with less than five working days prior notice (not including weekends). In that case, the interpreter will be compensated fully (100% cancellation fee) unless otherwise agreed upon and specified in writing by GLOBALTRAD LLC.

8. Refunds. All interpreting services rendered by GLOBALTRAD LLC for the time booked are final products and thus, refunds are not possible under any circumstances once the service has been rendered.

9. Performance. The Client commits to specify in writing to GLOBALTRAD LLC within a reasonable time before each interpreting assignment the location, duration, and nature of the assignment, as well as the expected mode(s) of interpreting to be used (e.g., simultaneous, consecutive, sight), the equipment to be used, if any, and the languages into and from which Contractor is being hired to interpret.
9.1. Provision of the preparation material. The Client commits to using his/her best efforts to obtain and send GLOBALTRAD LLC all available glossaries, background documents, and presentations before the assignment.
9.2. Team interpreting. Whenever standard practice requires team interpreting, the Client commits to abide by these standards and will provide the name/s of the other interpreters assigned to Contractor’ GLOBALTRAD LLC’s interpreting team unless GLOBALTRAD LLC specifically agrees to bring in a second interpreter to the event.
9.3. Interpreting Equipment. Unless GLOBALTRAD LLC specifically agrees to arrange for interpreting equipment, the Client shall be responsible for providing interpreting equipment required for the assignment, if applicable.
9.4. Supporting technician. Unless GLOBALTRAD LLC specifically agrees to arrange for an interpreting support technician, the Client shall be responsible for providing a supporting technician required for the assignment, if applicable.

10. Retention. GLOBALTRAD LLC reserves the right to retain copies of all source materials and any work product but shall have no obligation unless otherwise requested in writing by the Client before the event.

11. Limitation of Liability. The liability of GLOBALTRAD LLC for any direct, indirect, or consequential loss or damage suffered by the Client or the end user of any of GLOBALTRAD LLC’s interpreting services is strictly limited to the total amount of money paid to or billed by GLOBALTRAD LLC via the invoice.

12. Client Warranties. The Client warrants that (a) the Client owns or has obtained all necessary rights, title, and interest, in and to the source material(s) to be interpreted or otherwise worked on by GLOBALTRAD LLC, including and without limitation all applicable copyrights, trademarks or service marks, or licenses thereunder and that (b) neither the provision of the services performed by GLOBALTRAD LLC, not the final products will infringe or otherwise violate the rights of any third parties. The Client shall indemnify and hold GLOBALTRAD LLC harmless from and against all claims in connection therewith.

13. Confidentiality. Information is deemed confidential if, given the nature of the Client's business, a reasonable person would consider such information confidential. GLOBALTRAD LLC agrees: (a) to exercise the same degree of care as he/she accords to his/her confidential information but in no case less than reasonable care, and (b) to use Confidential Information which the Client provides to GLOBALTRAD LLC only for the performance of services and not for GLOBALTRAD LLC's benefit.

14. Term. GLOBALTRAD LLC understands and agrees that the Client will be utilizing GLOBALTRAD LLC's Services only on an as-needed basis and at the client's discretion. GLOBALTRAD LLC may, without penalty, decline to accept any offered assignment from the Client.

15. Termination. In the event of termination, GLOBALTRAD LLC must provide the Client, and the Client must pay GLOBALTRAD LLC for all Services performed and expenses incurred, if any. The Client is not obligated to pay GLOBALTRAD LLC any other compensation, severance, or another benefit.

16. Non-Exclusivity. The Client acknowledges that GLOBALTRAD LLC may perform services for other customers, persons, or companies as GLOBALTRAD LLC sees fit while involved in a project with The Client, unless otherwise specified in written and agreed upon by the parties.

17. Applicable Law. These Terms of Services shall be governed in all respects by the laws of the United States of America, and by the laws of the State of North Carolina.

18. Dispute Resolution. Any controversy or claim arising out of or relating to these Terms of Services, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association per its then-prevailing Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

19. Modifications to the Terms of Service. No modification, amendment, supplement to, or waiver of these Terms of Services shall be binding upon the parties hereto unless made in writing and duly signed by both parties.

20. Waiver. No waiver by either party, express or implied, of any term, condition, or obligation of these Terms of Services shall be construed as a waiver of any subsequent breach of any term, condition, or obligation of these Terms of Services, whether of the same or a different nature.

21. Entire Understanding. These Terms of Services and the terms of any written confirmation provided by GLOBALTRAD LLC to the Client set forth the entire understanding of the parties as to the subject matter hereof, and supersede all previous understandings or agreements (whether written or oral) concerning the subject matter hereof.

22. Severability. Suppose a provision of these Terms of Services is held invalid or unenforceable. In that case, such provision shall be severed from these Terms of Services concerning the matter in question, and the remainder of the Terms of Services shall remain in full force and effect.

23. Publicity. GLOBALTRAD LLC may use the Client's name in press releases, advertising, social media content, public reviews, and materials distributed to prospective customers unless otherwise agreed by the parties in writing.
